Read these Terms (“Terms”) carefully before using the services provided at www.nice.industries, www.nicepass.vip (the “Service”), operated by Nice Industries Inc. (“Nice,” “we,” “our,” or “us”).
These Terms apply to all visitors, users, agents, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of the Terms, you may not access or use the Service.
To access certain features of the Service, such as creating events or making donations, you may need to register for an account. You must provide accurate, current, and complete information during registration and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or use the Service. If you are under 18, you may only use the Service with the involvement of a parent or guardian. We reserve the right to suspend or terminate your account if we suspect violations of these Terms or applicable laws.
We may require Organizers to provide additional information (e.g., address, tax ID, business details, government ID) to verify identity, compliance, or eligibility for payouts. Failure to provide accurate/complete info may result in withheld funds, suspension, or termination.
Events and donation opportunities are created by independent Organizers, not by Nice (unless explicitly stated). Nice provides technology for donations, information sharing, marketing, promotion, and event management.
Nice does not act as a money transmitter, payment processor, or custodial holder of funds, does not store value, and does not exercise discretion over payments beyond technical facilitation. All payments are processed by third-party processors (such as Stripe) per their terms.
By connecting a Stripe account to the Service, you:
Connecting a Stripe account does not imply endorsement of any Organizer or event, and Organizers may not represent or imply a partnership, sponsorship, or affiliation with a nonprofit beyond the disclosed allocation of proceeds.
If you are an Organizer directing donations/ticket proceeds to a nonprofit, you represent and warrant:
You may not use the Service to raise funds for, or in connection with:
Nice may review, pause/remove campaigns, withhold payouts, or report violations.
We charge Organizers fees for event ticketing, donation facilitation, organization profiles, and promotion tools. Fees are deducted from payouts unless a Donor voluntarily covers them (via checkout checkbox).
No platform fees are added to ticket/donation amounts unless voluntarily selected by Attendees/Donors. Selected amounts reflect totals including covered fees (before taxes/processor fees).
Payments are processed by third-party processors (such as Stripe) on behalf of users. Payments may be processed through a Stripe account associated with Nice solely to facilitate settlement and transfers to recipients (minus applicable fees) per their instructions. Funds transfer promptly to connected accounts; Nice does not use customer funds for its own purposes, does not store value, does not exercise independent discretion over funds beyond facilitation, and does not store sensitive payment card details.
By connecting a payment account or using payment features, users agree to the processors' terms (e.g., Stripe Connected Account Agreement and Services Agreement at stripe.com/legal) and authorize sharing of accurate information for processing.
Platform fees charged to users are non-refundable except as required by law or our policies.
Refunds for tickets or donations are handled solely by Organizers per their policies. Nice is not liable for payment disputes, chargebacks, or fraudulent transactions.
Taxes: users are responsible for determining taxability, collection, reporting, and remittance. Where required, Nice may collect/remit sales taxes. Nice does not provide tax, legal, or accounting advice, and users are solely responsible for compliance with all applicable tax laws, regulations, and reporting obligations.
Certain events may be expressly identified as hosted or organized by Nice (“Nice-Hosted Events”).
By registering for, attending, or participating in a Nice-Hosted Event, you acknowledge that participation is voluntary and at your own risk. To the maximum extent permitted by law, Nice is not liable for any injury, loss, damage, harm, or incident related to such participation (including personal injury, property damage, theft, illness, assault, harassment, or death), except as caused by Nice’s gross negligence or willful misconduct.
Participants must comply with all applicable laws, venue rules, and event guidelines, and are responsible for their own conduct. Nice may establish and enforce reasonable rules of conduct for Nice-Hosted Events and reserves the right to remove any participant whose behavior is disruptive, unsafe, or unlawful.

To the maximum extent permitted by law, Nice and its affiliates, officers, directors, employees, agents, etc., are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages (including lost profits, data, or business interruption), even if advised of the possibility.
Nice's total liability is limited to: (i) fees you paid us in the 12 months before the claim, or (ii) $100 USD if no fees were paid.
Some jurisdictions do not allow these limitations, so they may not apply to you.
The Service allows users to post, link, store, share, or otherwise make available information, text, graphics, videos, or other material ("Content").
Users represent and warrant that they own or have rights to post their Content, that it does not infringe third-party rights, and that it complies with these Terms and applicable law. Users are solely responsible for their Content.
License to Nice: You grant Nice a worldwide, irrevocable, royalty-free, non-exclusive license to use, reproduce, adapt, publish, translate, distribute, and display Content solely to provide, promote, and operate the Service. This license ends when Content or the user's account is deleted (subject to backups and prior uses).
License to Organizers: If an Organizer designates your organization to receive proceeds from their event or campaign (ticket sales, donations, etc.), you grant that Organizer a royalty-free, non-exclusive license to use, reproduce, and display your Content solely to promote and operate that specific event or campaign. This license ends when the Organizer deletes the event/campaign or your Content is removed (subject to prior uses, such as promotions already posted).
The Service may contain links to third-party websites, services, and content not owned or controlled by Nice. Nice assumes no responsibility for the content, terms, policies, or practices of third-party sites, services, or entities. Use of such links is at your own risk.
Nice is not responsible or liable, directly or indirectly, for any damage or loss caused, or alleged to be caused, by or in connection with use of or reliance on any such content, sites, goods, or services available on or through any such links.
Certain features of the Service integrate with Google services, including Google Calendar and Google Meet. These integrations are enabled only with your explicit authorization and are used solely to provide user-requested functionality such as event scheduling, calendar management, and video meeting link generation.
Nice is not responsible for Google services. Your use of Google services remains subject to Google's applicable terms and privacy policies.
You must not use the Service to:
By providing your phone number/email and using the Service, you consent to receive communications from Nice, hosts, or users via SMS/MMS, email, calendar services, or push. These include transactional messages (event confirmations, reminders—no separate consent needed) and promotional messages (with separate consent where required).
SMS/Text Messages: Standard rates apply. Frequency varies. Reply STOP to opt out, HELP for info, or email connect@nice.industries. Opting out may limit features.
Email: Promotional emails include unsubscribe links (processed promptly).
Nice respects user communication preferences and applicable marketing laws. Users may opt out of non-essential communications at any time. We do not sell contact information to third parties for marketing purposes.
If you upload or import personal data (including names, email addresses, phone numbers, or similar), you must have legally valid explicit consent from the data owners to collect, use, and share it via the Service. You are solely responsible for obtaining and maintaining such consent and all applicable compliance. Violations may result in immediate account suspension or termination.
Nice's trademarks, service marks, trade names, software, images, audio, text, and design elements of the Service are protected by intellectual property laws. Users may not reproduce, distribute, modify, or commercially exploit them without Nice's express prior written consent, except as reasonably permitted through authorized use of the Service.
If you believe material on the Service infringes your copyright, notify us at connect@nice.industries. Your written notice must include (per 17 U.S.C. § 512(c)(3)):
We will respond promptly to valid notices per DMCA procedures, which may include removal and counter-notice processes.
Any feedback, ideas, suggestions, or other content you submit to us (“Submissions”) are deemed non-confidential and non-proprietary.
To the fullest extent permitted by law, you hereby irrevocably assign all right, title, and interest in and to such Submissions to us, without compensation or expectation of compensation.
For any Submissions that cannot legally be assigned, you hereby grant us an unrestricted, perpetual, worldwide, royalty-free, irrevocable, fully paid-up, transferable, and sublicensable license to use, reproduce, adapt, modify, create derivative works from, distribute, display, perform, transmit, sell, and otherwise exploit such Submissions for any commercial or non-commercial purpose, without compensation to you.
The Service is provided "as is" and "as available," without warranties of any kind, express, implied, or statutory, to the maximum extent permitted by law.
Nice disclaims all warranties, including:
You are solely responsible for any damage to your devices, systems, data, or networks from using the Service. Nice is not liable for losses arising from Service use or reliance on its information.
Accessing the Service outside the U.S. is your responsibility for local law compliance.
Users agree to defend, indemnify, and hold harmless Nice, its affiliates, subsidiaries, officers, directors, employees, agents, and successors from all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
Nice reserves the right, at your expense, to assume exclusive defense/control of any indemnified matter. You agree to cooperate fully.
Nice may, at its sole discretion, suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including violation of these Terms, suspected fraud, or Service disruption. Suspension or termination may be temporary or permanent.
You may stop using the Service and terminate your account at any time.
Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive (including ownership of Site Content, Content licenses, disclaimers, limitations of liability, indemnification, and governing law) continue in full force.
IMPORTANT NOTICE: THIS SECTION CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT OR PARTICIPATE IN A CLASS ACTION.
Arbitration Any dispute arising from these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in Delaware (or remotely if agreed). BY AGREEING TO ARBITRATION, YOU WAIVE YOUR RIGHT TO A JURY TRIAL OR TO LITIGATE IN COURT. The arbitrator may award the same relief as a court.
Individual Basis Only: YOU AND NICE WAIVE ANY RIGHT TO CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS. ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY ON YOUR OWN BEHALF, AND NOT AS A CLASS MEMBER OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. NO ARBITRATOR OR COURT MAY CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Claims must be brought individually within one (1) year.
Opt-Out: Email connect@nice.industries within 30 days of accepting these Terms with your name, address, and "ARBITRATION OPT-OUT" to opt out. Opting out does not affect other Terms.
Small Claims: Either party may bring claims in small claims court if claims qualify.
Invalidity: If arbitration is unenforceable, disputes go to the courts specified in Governing Law.
These Terms and use of the Service are governed by Delaware law (without regard to conflict of laws principles).
Any dispute arising from these Terms or the Service must be brought exclusively in state or federal courts located in Delaware. You consent to the personal jurisdiction and venue of these courts.
Where applicable law prohibits exclusive forum selection, this section does not limit your rights under such law.
Nice may update these Terms at any time. Material changes will be posted here with an updated "Last Updated" date.
Changes are effective immediately upon posting. Your continued use of the Service after changes constitutes acceptance. To reject changes, stop using the Service.
These Terms constitute the entire agreement between you and Nice regarding the Service, superseding prior agreements except separate written contracts for specific products, services, partnerships, or events.
Severability: If any provision is held invalid, the remainder remains in effect. The invalid provision will be reformed to preserve its original intent.
Assignment: Nice may assign these Terms without consent (e.g., merger, acquisition). You may not assign without Nice's written consent.
No Waiver: No delay or failure to exercise rights constitutes waiver.
Force Majeure: Nice is not liable for delays due to circumstances beyond reasonable control (acts of God, disasters, wars, pandemics, strikes, government actions, network failures).
Independent Contractors: No agency, partnership, joint venture, employment, or fiduciary relationship exists.
